Effective date: May 2026. Please read these Terms of Service (“Terms”) carefully before using FlowShipZ (“Service”, “Platform”). By registering, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Definitions & company information

• “Company” means Empyron Ventures Private Limited, operator of the FlowShipZ brand.
• “Merchant” / “You” means any individual or business entity that creates an account and uses the Service.
• “Content” means data, text, images, order details, and materials uploaded or transmitted through the Platform.
• “Courier Partners” means third-party logistics carriers integrated with the Platform.

2. Account terms

• You must be 18 years of age or older and legally capable of entering into a binding contract under Indian law.
• You must provide accurate, complete, and current information during registration, including legal name, valid email, mobile number, business details, and KYC documents where requested.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• FlowShipZ is not liable for loss arising from unauthorised access due to your failure to secure login credentials.
• You may not use the Service for any unlawful, fraudulent, or unauthorised purpose, or in violation of applicable laws including Indian copyright, customs, and export regulations.
• You must not transmit malware, attempt unauthorised access, scrape the Platform, overload systems, or reverse-engineer the Service without written consent.
• Violation of these account terms may result in immediate suspension or termination of your account at our sole discretion.

3. Nature of the service

FlowShipZ is a technology-enabled logistics aggregation platform that connects Merchants with Courier Partners for domestic (and where available, cross-border) shipping, tracking, billing, and related tools. We facilitate shipment booking and visibility; physical carriage is performed by Courier Partners subject to their terms and network limitations.

Tracking information, EDD estimates, pincode serviceability, and rate calculations are provided on a best-effort basis and may differ from courier systems due to scan delays, network constraints, weather, strikes, or operational exceptions.

4. Merchant obligations

• You are solely responsible for the accuracy of consignee details, product descriptions, invoice values, HSN codes, and declared weights/dimensions.
• You must comply with packaging, labelling, and dangerous-goods regulations applicable to your shipments.
• You warrant that you have lawful authority to ship all goods and that shipments do not contain prohibited or restricted items (see Section 11).
• You are responsible for end-customer communications, product quality, and consumer disputes relating to your goods—unless expressly covered under a separate written agreement.
• You agree to display your own terms of sale, return policy, and privacy policy to your customers where required by law.

5. Payment of fees

• Shipping charges, surcharges, COD fees, GST, and other applicable taxes are displayed at booking or invoiced as per your account plan.
• Wallet recharges and payments are processed through RBI-authorised payment gateway partners. All fees are exclusive of applicable taxes unless stated otherwise.
• You agree to maintain sufficient wallet balance (or valid payment method) for shipment creation and recurring charges.
• Invoices must be paid within the timeline specified on the invoice or your commercial agreement. Overdue accounts may be suspended.
• Weight discrepancies, remote area charges, re-attempt fees, RTO charges, and other carrier-imposed costs may be debited from your wallet or invoiced subsequently based on actual billing from Courier Partners.
• Refund eligibility for wallet recharges and shipments is governed by our Refund & Cancellation Policy.

6. Cancellation & termination

• You may request account closure by emailing support@flowshipz.com, subject to settlement of outstanding dues and in-transit shipments.
• Upon termination, access to the dashboard may be revoked. Certain records may be retained as required by law.
• We may suspend or terminate your account immediately for fraud, chargeback abuse, prohibited goods, policy violations, or non-payment.
• Shipment-level cancellation rules are detailed in our Refund & Cancellation Policy.

7. Intellectual property

All Platform software, branding, logos, documentation, and design elements are owned by Empyron Ventures Private Limited or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes. You may not copy, resell, or exploit any part of the Service without written permission.

You retain ownership of your Content. By uploading Content, you grant us a licence to use, store, display, and transmit it as necessary to operate the Service and fulfil shipments.

8. Limitation of liability

The Service is provided on an “as is” and “as available” basis without warranties of uninterrupted, error-free, or fully accurate operation. To the maximum extent permitted by law:

• FlowShipZ shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, or data.
• Our aggregate liability for any claim arising from the Service shall not exceed the fees paid by you to FlowShipZ in the three (3) months preceding the claim, except where liability cannot be limited under applicable law.
• Lost, damaged, or delayed shipments are subject to Courier Partner claim procedures and any declared value or insurance options selected at booking.

You agree to indemnify and hold harmless Empyron Ventures Private Limited, its directors, employees, and partners from claims arising from your breach of these Terms, unlawful shipments, or violation of third-party rights.

9. Modifications to service & prices

We may modify, suspend, or discontinue any part of the Service with reasonable notice where practicable. Pricing, courier availability, and features may change; continued use after notice constitutes acceptance unless your separate commercial contract provides otherwise.

10. Technical support

Support is provided to active account holders via email and in-dashboard ticketing during published business hours. Critical operational issues are prioritised based on severity and account tier.

11. Prohibited & restricted items

You shall not ship items prohibited under applicable law, courier network rules, or Platform policy, including but not limited to:

• Illegal drugs, narcotics, psychotropic substances, and intoxicants.
• Weapons, explosives, ammunition, and hazardous materials without proper authorisation.
• Counterfeit goods, stolen property, and items infringing intellectual property rights.
• Live animals, human remains, and wildlife products restricted under the Wildlife Protection Act, 1972.
• Currency, securities, precious metals, and high-value negotiable instruments unless expressly permitted.
• Items restricted by Courier Partners, aviation security rules, or customs regulations.

We reserve the right to refuse, hold, or report shipments that violate these restrictions.

12. Governing law & dispute resolution

These Terms are governed by the laws of India. Courts at New Delhi shall have exclusive jurisdiction, subject to any mandatory arbitration or dispute mechanism under a separate signed agreement between you and the Company.

13. General

• Failure to enforce any provision shall not constitute a waiver.
• If any provision is held invalid, the remaining Terms remain in effect.
• These Terms, together with the Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and Empyron Ventures Private Limited regarding the Service.
